Today TAG received offers from severalinvestors to sell around 24 percent, or 6.9 million shares, of Colonia. TAGintends to accept these offers. To finance the acquisition of shares of around 16 percent, TAG will carryout a capital increase from authorised capital, excluding the shareholders'subscription rights. It is planned to issue 4.05 million shares. The issueprice will be determined as part of the placement of these new shares andwill be based on the current share price and the provisions of the enablingresolution adopted by the TAG shareholders' meeting of 25 June 2010.The other shares are to be incorporated into TAG as part of a capitalincrease against contribution in kind by making use of the authorisedcapital, again excluding subscription rights. As part of this capitalincrease 2,342,751 TAG shares will be issued and the same amount of Coloniashares will be acquired in a 1:1 ratio.The transaction is subject to the approval of the TAG Supervisory Board,and to the registration of the capital increases in the commercialregister. TAG regards the strategic stake in Colonia, which like TAG is listed in theS-DAX, as a useful addition to its investment portfolio. Both companiesfocus primarily on German residential real estate, as well as commercialreal estate and property-related services.
